1. S&D Promotions LLC, an Illinois limited liability company, doing business as BandSlot™ ("Licensor").
2. BANDSLOT accepts registration of Venues and Entertainers. Each User provides information about itself and may link to their own website and materials. Each User guaranties and warrants the accuracy and safety of all Information, Material, or Links it provides.
BANDSLOT has no obligation to edit or control User Information, Material, or Links and will not be in any way responsible or liable for any User Information, Material, or Links. We may, however, at any time and without prior notice, screen, remove, edit, or block any User content on the Service that in our sole judgment violates these Terms of Service or we find otherwise objectionable. BANDSLOT provides no verification or warranty of any kind relating to the User Information, Material, or Links.
You understand that when using the Services, you will be exposed to User Information, Material, or Links, and that User Information, Material, or Links may be inaccurate, offensive, indecent, harmful, damaging, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you may have against BANDSLOT with respect to User Information, Material, or Links. BANDSLOT expressly disclaims any and all liability in connection with User Information, Material, or Links.
3. Users (also referred herein as "You") are granted a non-exclusive license to use the BANDSLOT App and/or Service, and by using the App and/or Service, You consent to the Terms of Service. Failure to abide by the Terms of Service may terminate your usage rights or subject You to liability including claims for damages or injunction. User's license is nontransferable and may not be shared with others to book a different musician, band, DJ, or entertainer.
4. You may register as a single musician, band, DJ or entertainer for a 6-month User Fee. All fees are in U.S. dollars and are non-refundable. The Service Period will automatically renew for another 6-month Service Period unless cancelled by You PRIOR to renewal date. Your payment information will be billed for the Renewal Service Period at the then current rate. If we change our fees, we will provide advance notice.
Our authorized third-party payment processors will charge the payment method you specified at the time of purchase or your last renewal. You authorize us to charge all fees as described in these Terms of Service for the payment method You selected. If you pay our fees with a credit card, we may seek pre-authorization of your credit card account before your purchase or renewal to verify that the credit card is valid and has the credit available.
5. Users agree to indemnify, defend, and hold harmless BANDSLOT, our respective directors, officers, employees, and agents from any and all claims and demands made by any third party due to or arising out of (a) your access to or use of the Services; (b) your breach of our Terms of Service; (c) your violation of any law or the rights of a third party; (d) any dispute or issue between you and any third party; (e) any User Information, Material, or Links you upload or otherwise make available through, the Service; (f) your willful misconduct; and (g) any other party's access to or use of the Services using your account and password. You will also indemnify, defend, and hold harmless BANDSLOT against any and all claims or liability of every nature, arising in any way relating to the use of Licensor's App and/or Service including but not limited to all claims of personal injury, property damage, contract, intellectual property, losses, damages, or other claims of every nature, and You further shall reimburse all BANDSLOT's costs and fees including reasonable attorneys fees.
6. The "Performance Agreement" is a tool to confirm the time, location, date, and price for a booking. Many other terms are important to a Performance Agreement and adding additional terms to the Performance Agreement is the sole responsibility of the Users. BANDSLOT provides NO LEGAL ADVICE whatsoever and BANDSLOT is not a party to the Performance Agreement.
7. LIMITED WARRANTY. BANDSLOT'S APP AND SERVICE ARE PROVIDED "AS IS" "WITH ALL FAULTS" AND "AS AVAILABLE," AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. BANDSLOT MAKES NO REPRESENTATIONS, WARRANTIES, OR CONDITIONS, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS: (A) ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY, AND IMPLIED, INCLUDING WITHOUT LIMITATION INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY; (B) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE; AND (C) WARRANTIES OR CONDITIONS OF UNINTERRUPTED OR ERROR-FREE ACCESS OR USE. YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF OR ACCESS TO THE SERVICES, YOUR DEALING WITH ANY OTHER USER, ANY MATERIALS, AND ANY LINKS PROVIDED BY USERS. YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES, AND USE, ACCESS, DOWNLOAD, OR OTHER OBTAINMENT OF MATERIALS THROUGH THE SERVICES AND ANY ASSOCIATED SITES OR SERVICES, ARE AT YOUR OWN DISCRETION AND RISK, AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICES), OR THE LOSS OF DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OR USE OF THOSE MATERIALS, THE APP AND/OR SERVICE.
8. In no event will BANDSLOT be liable for any indirect, consequential, special, incidental, or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of, based on, or resulting from, these Terms of Service or your use or access, or your inability to use or access, the services or any materials on the services, whether based on: (a) breach of contract; (b) breach of warranty; (c) negligence; or (d) any other cause of action.
9. No User may (a) distribute or post spam or other unsolicited messages, chain letters, pyramid schemes, or similar communications through the Service; (b) impersonate another person, misrepresent your affiliation with another person or entity, or make any misrepresentation to any third party or upload invalid data; or (c) post, reproduce, publicly display, or otherwise make accessible any content, which we, in our sole judgement and discretion, consider illegal, offensive or objectionable including without limitation content that harasses, discriminates, demeans, threatens or disparages anyone.
10. BANDSLOT shall be entitled to recover all costs associated with enforcing the Terms of Service or seeking damage for violating the Terms of Service including, without limitation, its reasonable attorney's fees.
11. Our Terms of Service constitutes the Entire Agreement between BANDSLOT and User. The Terms of Service may be changed, amended, or modified only by Licensor and upon approval of User. All rights of Licensor are reserved.
12. Governing Law, Jurisdiction, Venue. The laws of the State of Illinois govern this Agreement without giving effect to its conflict of laws provisions. The parties expressly agree that exclusive jurisdiction for any claim or dispute with BANDSLOT shall be venued in the State of Illinois, County of Winnebago, whether in State or Federal Court. The parties expressly agree and consent to the exercise of personal jurisdiction in Winnebago County, Illinois.
